(HCAP) which has as sole shareholder the Hellenic Republic I.5.2) Other activity - Financial services/Asset Development Fund Request for Proposals to Act as Technical, Traffic and Environmental Advisor to the Hellenic Republic Asset Development Fund (‘Hradf’) for the Concession of the Attica Motorway II.1.4) Short description HRADF is seeking to engage a specialised and highly experienced technical, traffic and environmental advisor (the ‘Advisor’), who fully understands the technical, engineering, traffic, environmental, operational, commercial and financial dynamics and drivers of motorways in Europe and in Greece and of the Attica Motorway in particular, in order to provide its services and the necessary assistance on all aspects related to technical traffic and environmental matters in relation to concession of the Attica Motorway (the ‘Project’) and the implementation of the respective transaction (the ‘Transaction’). II.01) Estimated value excluding VAT: EUR 1850000.00 II.1.6) This contract is divided into lots: no NUTS code: EL30 II.1.4) Short description The Advisor is expected to provide, inter alia, the following services: Preparatory phase: (a) overview and assessment of historic performance of the motorway including review of historical/recent traffic data collected and historical/recent traffic models prepared by ATTIKI ODOS SA; (b) liaise and/or negotiate with HR to define any possible extensions of the motorway that HR may intend to implement and the optimal interface arrangements with such extensions, assessing their technical feasibility; (c) overview and assess the tolling system implemented on the motorway; (d) develop a detailed long-term traffic forecast/model for the motorway, with breakdown of type of vehicles; (e) based on information available, develop, produce and update the base case traffic model and sensitivity scenarios to be used for the preparation of the financial model of the project and by HR for any analysis necessary for any filling to the EU authorities; (f) provide advice and recommendations to HR, HRADF and its other advisors on the following: (i) selection and installation of the technically, operationally and commercially most suitable etolls system for the Motorway; (ii) design, technical and operational prerequisites and specifications of the etolls system; (iii) capital expenditure requirements for the installation, operation and maintenance of the e-tolls system (including vehicle identification, vehicle classification, transaction processing, violation enforcement, etc.); (iv) milestones and timelines for the installation and operation of the etolls system; (v) review and assessment of the motorway’s current traffic management system and submission of recommendations; (vi) submission of an etolls System Recommendation; (g) conduct a technical and engineering audit of the motorway and submit a technical and engineering audit report. Implementation phase (a) assist and contribute in the preparation and execution of any tender procedure for the implementation of the Project until the closing of the transaction; (b) maintain and update/adjust the base traffic model and perform sensitivity scenarios; (c) assist in all matters related to the development, installation and operation of a comprehensive proportional (electronic) tolling system to be installed and operated on the motorway, in order to ensure that users are charged according to the distance travelled (‘e-tolls’); (d) assist HRADF in any communications with HR and/or Attiki Odos SA and/or Attikes Diadromes SA necessary for the purposes of the tender procedure to be held and assist in the organisation of site visits to the motorway; (e) support HRADF in organising and managing the due diligence process. Provide support in the creation of the VDR, including drafting of any technical document that will be uploaded to facilitate potential investors’ due diligence; (f) review and provide input on all technical aspects of the tender documents and the contractual documents for the implementation of the project and the transaction; (g) provide to the BoD and to the Council of Experts of HRADF any required recommendation justifying the proposed course of action in the different steps of implementation of the transaction; (h) assist and advise HRADF in relation to the completion of the transaction; (i) perform all other customary services of a technical and traffic advisor for the successful implementation of the project and the transaction. Environmental issues: (a) site inspection of the motorway and a review of available information; (b) assessment of the site and immediate area with reference to environmental aspects; (c) evaluation of the status of the environmental permits of the motorway; (d) review compliance with current and foreseeable environmental legislation and clauses in the concession agreement; (e) identify environmental constraints which may impact the current operations of the motorway; (f) assess the risks and liabilities with suggested measures to be taken to address any environmental costs, risks and liabilities identi II.2.5) Award criteria: Value excluding VAT: EUR 1850000.00 II.02.07) Duration in months 48 II.2.7.5) This contract is subject to renewal: yes II.2.7.6) Description of renewals: HRADF reserves the right to renew and/or extend the engagement with the advisor in order to include complementary services, which may be required and cannot be identified today, but they shall prove either to be inseparable from the original engagement or because they are absolutely necessary for the completion of the project, in accordance with HRADF's Procurement Regulation (GG 476/B’/2014). The expressions of interest to be submitted and this Invitation as well as the Advisor’s engagement letter for the assignment are governed by the laws of Greece; any dispute arising under or out of or in connection with the latter shall be subject to the exclusive jurisdiction of the courts of Athens, Greece.
